CRDB Bank is seeking a dedicated Legal Officer to join the Company Secretary department at their Head Office in Tanzania. This full-time, permanent position is open to legal professionals with a strong background in contract law and banking-related legal matters.
Job Purpose:
The Legal Officer will be responsible for managing, drafting, reviewing, and negotiating contracts and agreements on behalf of the bank, ensuring compliance with relevant laws and safeguarding the bank’s interests. The role involves close collaboration with various departments, including procurement, sales, and management, to provide expert legal advice and support on contractual matters.
Principal Responsibilities:
- Draft and Review Contracts: Create, review, and amend a wide variety of contracts such as service agreements, vendor contracts, NDAs, partnership agreements, and other legal documents relevant to banking operations.
- Risk Mitigation: Identify potential legal risks in contracts and propose strategic solutions to mitigate these risks.
- Compliance: Ensure that all contracts are legally sound, clear, and aligned with company policies and regulations.
- Record Keeping: Maintain a database of executed contracts, ensuring proper storage and easy access to these legal documents.
- Contract Negotiation: Engage in contract negotiations with external parties, providing legal advice and recommendations to secure favorable terms.
- Stakeholder Collaboration: Work with internal stakeholders to understand their needs and objectives during contract negotiations.
- Legal Updates: Stay informed on legal developments that may affect the bank’s contractual obligations.
- Legal Advice: Provide expert legal counsel to senior management and other departments on contract law and related issues.
- Dispute Resolution: Assist in resolving disputes arising from contracts and legal documents, including representing the bank in arbitrations and litigation if required.
- Legal Research: Conduct extensive legal research and analysis on complex issues, preparing legal opinions, reports, and correspondence.
- Staff Training: Participate in training programs for staff on legal matters, such as identifying genuine securities and legal implications of various actions.
Qualifications Required:
- Education: Bachelor’s degree in law (LL.B) from a recognized university; a master’s degree is an added advantage.
- Professional Qualification: Admission as an Advocate of the High Court.
- Experience: At least three years of relevant experience in contract drafting, review, and negotiation, preferably in the banking industry.
- Skills: Strong legal knowledge, excellent communication skills in both English and Kiswahili, and a solid background in contract law.
- Attributes: Creative problem-solving skills, strong relationship-building, and excellent decision-making abilities.
