Job Purpose

The Legal Manager – Contracts & Compliance oversees KCB Bank’s contractual lifecycle, legal risk management frameworks, regulatory compliance monitoring, and intellectual property portfolio. Reporting to the Head of Legal Services, this role leads the drafting, vetting, and negotiation of complex commercial agreements, conducts internal legal audits, manages contract databases, files statutory returns, and provides legal advisory across all banking units and branch networks.

Key Responsibilities & Operational Duties
  • Contract Lifecycle & Negotiation Management:

    • Draft, review, revise, and negotiate a wide array of commercial contracts, including Master Service Agreements (MSAs), vendor contracts, customer agreements, NDAs, partnership MOUs, leases, and procurement contracts.

    • Standardize contractual templates and ensure all agreements align with the bank’s risk tolerance, business goals, and statutory guidelines.

    • Utilize Contract Lifecycle Management (CLM) principles to track contract execution, expiry timelines, renewals, and supplier obligations.

  • Legal Risk, Compliance & Regulatory Audit:

    • Monitor emerging laws, pending legislative bills, Bank of Tanzania (BOT) regulations, and industry trends to advise senior management and adjust internal bank policies accordingly.

    • Implement the Legal Risk Management Framework and conduct periodic internal legal audits across bank departments and branches.

    • Assist departments in developing mitigation strategies for identified legal risks and track the closure of open audit findings.

  • Intellectual Property (IP) & Statutory Governance:

    • Register, maintain, and protect KCB Group’s intellectual property portfolio in Tanzania, including service marks, trademarks, domain names, and logos.

    • Handle IP disputes, copyright infringement claims, and trademark opposition proceedings.

    • File all mandatory statutory returns with relevant Tanzanian government and regulatory authorities on time.

  • Advisory, Reporting & Capacity Building:

    • Prepare periodic Legal Risk, Contract Analytics, and Audit Reports for Senior Management and the Board of Directors.

    • Conduct legal awareness workshops and branch visits, developing FAQs and training materials for staff at the Leadership Centre.

    • Provide legal support for new product developments, reviewing product terms and conditions, marketing materials, and digital banking frameworks.

Candidate Qualifications & Experience

Academic & Professional Qualifications:

  • Education: Bachelor of Laws (LL.B.) Degree from a recognized university.

  • Specialization: Advanced coursework or demonstrated expertise in Contract Law, Corporate Law, Intellectual Property Law, Company Law, Land Law, or Capital Markets.

  • Advocate Status: Admission as an Advocate of the High Court of Tanzania with an active practicing license is highly desirable.

Work Experience & Technical Competencies:

  • Experience Level: Minimum of 6 years of progressive legal experience, with significant exposure to contract drafting, corporate compliance, and legal risk management in commercial banking, financial services, or a top-tier law firm.

  • Contract Expertise: Expert knowledge of commercial contract terms, legal drafting, risk allocation, and negotiation tactics.

  • Tech Capabilities: Proficiency in Contract Lifecycle Management (CLM) systems and digital legal research platforms.

  • Soft Skills: Exceptional organizational ability, analytical problem-solving skills, stakeholder diplomacy, and the capacity to manage high-pressure priorities.
